9.3. Technology and Third-Party Platform Risk
Epiidosis shall not be liable for any failure, delay, or damages resulting from:
- The malfunction, inaccuracy, or interruption of third-party tools, APIs, plugins, or digital communication systems,
- Outages or security breaches on partner websites, email servers, or cloud-hosted CRM/data management platforms,
- External cyber-attacks, denial-of-service incidents, or data corruption beyond the Company’s reasonable control.
9.4. Loss of Data and Confidential Information
Epiidosis takes commercially reasonable steps to ensure cybersecurity and data privacy. However, it does not accept liability for:
- Loss, theft, or unauthorized access to personal, business, or financial data during transmission,
- Loss of stored data due to server failure, malware, or third-party system errors, even if arising in contract, tort (including negligence), breach of statutory duty, or otherwise.
9.5. Financial Cap on Claims
In all events and under all legal theories (contract, tort, equity, or statute), the aggregate liability of Epiidosis shall be strictly limited to the lesser of:
- The actual amount paid by the User to Epiidosis under a valid, executed engagement letter, exclusively for the specific service that directly gave rise to the claim; or
- AED 5,000 (Five Thousand United Arab Emirates Dirhams), if no direct fee was paid or where service scope was advisory or non-financial in nature.
This limitation applies regardless of the number of incidents, duration of use, or types of damages claimed.
9.6. Applicability
This limitation of liability clause shall apply to the fullest extent permitted under:\n
- UAE Civil Transactions Law (Federal Law No. 5 of 1985),
- Commercial Transactions Law (Federal Law No. 18 of 1993),
- UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection,
- Any other relevant free zone or international jurisdiction applicable by contract, choice of law, or legal effect.
10. Intellectual Property
All intellectual property rights in and to this Website—including but not limited to its structure, underlying code, databases, user interface, text, scripts, reports, images, infographics, illustrations, videos, branding elements, algorithms, forms, downloadable files (including PDFs), generated reports, and all visual or functional components (collectively referred to as “Intellectual Property”)—are the exclusive property of Epiidosis Global Finance LLC-FZ or its third-party licensors, and are protected under Federal Law No. 38 of 2021 on Copyrights and Related Rights (UAE), UAE Trademark Law, international conventions such as the Berne Convention, TRIPS Agreement, and applicable intellectual property legislation in jurisdictions where the Website may be accessed.

11. Termination of Access
Epiidosis Global Finance LLC-FZ (“Epiidosis”) reserves the absolute and unilateral right, at its sole discretion, to restrict, suspend, deactivate, or permanently terminate your access to this Website or any of its features, functionalities, tools, interactive modules, or stored data—whether submitted by you or generated through our systems—without prior notice, explanation, or liability, under any of the following circumstances:
11.1 Breach of Terms

- Technical, security, or financial constraints make continued availability of the Website unsustainable
11.4 Inactivity or Redundancy
Epiidosis reserves the right to archive or delete data or user sessions that remain inactive for a prolonged duration (e.g., 12+ months), especially if such accounts or inquiries were not formalized into a business relationship.
11.5 Effect of Termination
Upon termination:

- You hereby agree to fully indemnify, defend, and hold harmless Epiidosis Global Finance LLC-FZ (“Epiidosis”), including its parent entities, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, representatives, advisors, consultants, licensors, and strategic partners, from and against any and all losses, liabilities, damages, judgments, settlements, penalties, fines, expenses, and legal costs (including, without limitation, reasonable attorneys’ fees and costs of investigation, litigation, arbitration, mediation, or regulatory defense) that arise directly or indirectly from or relate to any of the following, whether incurred by Epiidosis or any third party:

- Your access to, use of, attempted use of, or reliance on any part of the Website, including misuse or abuse of any tools, forms, information, scripts, or resources made available through the Website, regardless of whether such misuse was intentional, negligent, reckless, or uninformed.

- This indemnification obligation shall survive the termination, suspension, or expiration of these Terms and your use of the Website, and shall apply regardless of any negligence or fault on the part of Epiidosis.
13. Force Majeure
Epiidosis Global Finance LLC-FZ (“Epiidosis”) shall not be held liable for any delay, default, failure to perform, or interruption in its services, obligations, or operations under these Terms of Service when such failure or delay arises, directly or indirectly, from circumstances or events beyond its reasonable control (“Force Majeure Event”).
Force Majeure Events shall include, but shall not be limited to:
- Natural and Environmental Disasters: Acts of God, earthquakes, hurricanes, floods, fires, lightning, tsunamis, droughts, or other catastrophic weather conditions;
- War and Political Instability: Armed conflict (declared or undeclared), invasion, civil war, insurrection, riot, rebellion, military or paramilitary activity, acts of foreign enemies, or other disturbances to civil order;
- Terrorism and Criminal Disruption: Acts of terrorism, sabotage, cyberattacks (including denial of service attacks), data breaches originating from third parties, criminal syndicate interference, or threats thereof;
- Public Health Emergencies: Epidemics, pandemics, outbreaks of infectious disease (including but not limited to COVID-19 or its variants), quarantines, lockdowns, or other public health directives issued by government authorities;
- Legal or Regulatory Intervention: Enactment, amendment, or repeal of any applicable law, regulation, or governmental policy; governmental orders, trade embargoes, sanctions, or prohibitions; suspension or revocation of licenses; regulatory shutdowns of systems or sectors;
- Infrastructure or Utility Failures: Interruption or failure of telecommunications, internet, satellite systems, electric power supply, or public utilities; failure or suspension of third-party hosting, data storage, financial infrastructure, or transport logistics;
- Labour or Industrial Disruptions: Strikes, lockouts, labour disputes, or shortages of skilled workforce, whether involving employees of Epiidosis or third-party service providers;
- Supply Chain and Material Shortages: Disruption in the global or regional supply chain, including failure of service providers or partners to perform due to their own Force Majeure conditions;
- Any other unforeseeable, unavoidable, and uncontrollable event or condition that renders the performance of obligations temporarily or permanently impossible, impracticable, or commercially unreasonable.
Effect of Force Majeure:
If a Force Majeure Event occurs, Epiidosis shall be excused from further performance or delay of its obligations for the duration of the event and a reasonable period thereafter to recover. This shall not be construed as a waiver or termination of the agreement unless the impact continues for a period exceeding ninety (90) consecutive days, in which case either party may terminate the engagement without liability through written notice.
Duty to Mitigate:
Epiidosis shall, to the extent commercially reasonable, make diligent efforts to mitigate the effects of the Force Majeure Event and resume full performance as soon as practicable. Notice of such events and updates shall be provided to affected users where feasible.
No Compensation or Damages:
Under no circumstances shall Epiidosis be liable to the user or any third party for any losses, delays, damages, or penalties resulting directly or indirectly from a Force Majeure Event.
14. Severability
In the event that any provision, clause, section, or term of this Agreement, in whole or in part, is determined by a court of competent jurisdiction, regulatory authority, arbitral tribunal, or other legal body to be invalid, void, unlawful, unenforceable, or in conflict with applicable law—whether due to overbreadth, ambiguity, statutory conflict, or other legal infirmity—such provision shall be deemed severed from these Terms, and shall not affect the legality, validity, or enforceability of any other remaining provisions herein.
To the fullest extent permitted by the governing laws of the United Arab Emirates, and particularly the laws and regulations applicable within the Meydan Free Zone Authority, the remaining Terms shall continue in full force and effect as if such invalid or unenforceable provision had never been included. The Parties hereby acknowledge and agree that it is their mutual intention that the remainder of these Terms be interpreted so as to effectuate, to the maximum extent possible, the original intent of the invalidated provision, consistent with the overarching purpose and spirit of this Agreement.
If necessary, the unenforceable provision shall be modified or partially enforced to the extent permitted by law so as to preserve its original intent as closely as possible while rendering it valid and enforceable. Such modification shall be automatic and shall not require further written amendment, except where required by law.
The Parties further agree that this clause operates independently of any dispute resolution mechanism and shall survive the termination, suspension, or expiration of this Agreement for any reason whatsoever.
15. Dispute Resolution & Governing Law
These Terms of Service, including any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims), shall be governed and construed in accordance with the laws of the United Arab Emirates, with particular reference to the legal and regulatory framework established by the Meydan Free Zone Authority, under which Epiidosis Global Finance LLC-FZ is registered and licensed.
Any dispute, controversy, or claim between the User and Epiidosis arising out of, relating to, or in connection with the use of this Website, any information provided, or services referenced herein—including issues of validity, interpretation, breach, or termination—shall be submitted to the exclusive jurisdiction of the Courts of Dubai, United Arab Emirates.
Without prejudice to the foregoing, Epiidosis, at its sole discretion, may elect to resolve any such dispute by final and binding arbitration administered by the Dubai International Arbitration Centre (DIAC) under its rules, which are deemed to be incorporated by reference into this clause. The following conditions shall apply to such arbitration:
- The seat and legal place of arbitration shall be Dubai, United Arab Emirates.
- The language of arbitration shall be English.
- The applicable law shall be the substantive laws of the United Arab Emirates, including any relevant free zone or commercial code provisions.
- The arbitration shall be conducted by a panel of one or more arbitrators, as mutually agreed by the parties, or as determined under the DIAC rules in the absence of agreement.
- The arbitration award shall be final, binding, and enforceable in any competent jurisdiction, and the parties irrevocably waive any right to appeal or challenge the award, to the fullest extent permitted by law.
By using this Website, the User irrevocably agrees that any court proceedings or arbitration arising under these Terms shall be confidential, and that neither party shall disclose the existence, content, or result of any such proceedings or awards except as required by law, regulation, or competent authority.
Furthermore, nothing in this clause shall limit the right of Epiidosis to seek injunctive or equitable relief, or to take urgent interim measures in any court of competent jurisdiction to prevent actual or threatened misuse of its intellectual property, proprietary information, or breaches that may cause irreparable harm.
The User further agrees to bear all costs associated with their own legal representation, and unless otherwise determined by the arbitral tribunal or court, each party shall pay its own legal fees, with joint responsibility for administrative and tribunal expenses, unless the prevailing party is awarded costs.
16. Changes to Terms of Service
Epiidosis Global Finance LLC-FZ (“Epiidosis”) reserves the full and absolute right, at its sole discretion and without prior notice, to amend, update, revise, supplement, modify, or replace these Terms of Service in whole or in part at any time to reflect changes in business practices, regulatory requirements, legal obligations, technology, security policies, or service enhancements.
Any such modifications shall be deemed effective immediately upon publication on this Website, unless explicitly stated otherwise. The revised Terms will be identified by an updated “Effective Date” at the top of this document. Users are responsible for reviewing these Terms regularly to stay informed of any changes. Epiidosis is under no obligation to individually notify users of updates.
Your continued access to or use of the Website after any modification to these Terms shall constitute your full and binding acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Website immediately.
